Mohan Raj Abraham qualified as an accountant in 1969 (B.of Accy, National University of Singapore) and as a Barrister-at-Law (Lincoln's Inn), Inns of Court, London in 1974.

He was with the Inland Revenue Authority of Singapore for 3 years as an assessor, then joined the Tax Department of Turquand Young (now Ernst & Young), a major accounting firm, at their Singapore and London Offices. Returned to Singapore after reading law in London, and re-joined their Singapore Office as a Consultant. Spent 9 years as a tax practitioner with them, and was involved a great deal in international tax and death duty planning.

Moved into the legal profession in 1976 and became a Senior and Managing Partner of Abraham Low and Partners until 1990. During that time, he was involved exclusively in corporate, commercial and revenue laws in Singapore and in the region. Left the legal practice in 1989 to join an investment banking firm in Hong Kong that was involved in syndications and property development in Hong Kong, China, Malaysia and Thailand, and returned to law practice in Singapore in 2003.

Samples of work done and involvement in bodies:-

  • Was regional counsel for a NY listed company that had a large presence in South-east Asian region and handled all their mergers and acquisitions in the region;
  • Was counsel to Burger King for Singapore and Malaysia and handled all their franchising documentation in Singapore and Malaysia;
  • Worked with Morgan Grenfell (merchant bankers) (now known as DMG) in mergers and acquisitions and rights issues in Singapore;
  • Acted as legal advisor to a member of the Royal Family in Brunei in the acquisition of a 5-star hotel in Manila;
  • Acted for the Government of Indonesia in a land swap for their embassy in Singapore;
  • Advised in wealth planning and structuring for high net-worth clients in Singapore and Indonesia;
  • Engaged in numerous cross border transactions including acquisitions of companies and joint ventures in the U.S.A., Malaysia, Hong Kong, Indonesia and Philippines;
  • Involved in advising and structuring an Indonesian company for listing on HK stock exchange;
  • Assisted in a reverse takeover of a company listed on the Singapore stock exchange;
  • While in practice, was appointed director of 3 public companies and of a European bank in Singapore;
  • Was also appointed to a government panel to review the fiscal laws in Singapore during the economic crisis in the '80s.

Claudia Poon graduated from the National University of Singapore with a Bachelor of Laws (Honours) degree in 2005. She was admitted as an Advocate and Solicitor of the Supreme Court of Singapore in May 2006, and was admitted as a Solicitor of the Supreme Court of England and Wales in January 2009.

In 2006, Claudia began her legal career as an associate in a Singapore law firm with a focus on the practice of Litigation and Arbitration as well as the practices of Family Law and Trust and Probate. In the four years that followed, she was involved in numerous civil and commercial litigation matters, gaining invaluable insight into the Singapore judicial system and the legal and commercial issues faced by corporations.

Claudia joined the practice of ABRAHAM in 2011, extending her legal experience to corporate, commercial and taxation matters.

Claudia's experience includes:

  • Acting for Private Trustees in successfully clawing back properties pursuant to sections 98 and 99 of the Bankruptcy Act (Cap 20);
  • Acting for one of Singapore's largest telecommunications groups against one of Singapore's largest info-communications companies in relation to an assessment of damages for breach of a network lease agreement;
  • Assisting in acting for minority subsidiary proprietors opposing an en-bloc sale;
  • Acting for the said minority subsidiary proprietors in their claims against former members of the Sale Committee for the en-bloc sale;
  • Acting for a third party in third party proceedings in a claim brought by a proprietary club against its former directors and shareholders and alleged de facto director and shareholder;
  • Acting for a shipping company in claiming against its ex-director and ex-employees for breaches of fiduciary duties, and successfully obtaining a Mareva Injunction and an Anton Piller Order against the ex-director;
  • Acting in a claim for wrongful termination of employment contract;
  • Acting for a customer against a bank for breaches of duty to advise and misrepresentation in a private banking relationship;
  • Engaging in numerous cross-border transactions including acquisitions of companies and joint ventures in the U.S.A., Indonesia and Vietnam;
  • Acting in contentious and non-contentious Probate matters, handling Will drafting matters, and acting in contentious and non-contentious Family and Matrimonial matters.
  • Negotiating, reviewing, drafting and advising on agreements and transaction documents, including the following:

    • Corporate restructuring transaction documents;
    • Shareholders' Agreements;
    • Call and Put Option Agreements;
    • Escrow Agreements, Mortgage instruments and Trust instruments;
    • Sale and Purchase Agreements for movable properties;
    • Option Agreements, Sale and Purchase Agreements and Leases for immovable properties;
    • Consultancy/Employment Agreements; and
    • Distributorship Agreements.
